Terms of Service

1. Acceptance of Terms

By using CodeBrewLabs services (“the Service”), including the website at codebrewlabs.io, the interactive demos on it, and the free consultation, you agree to these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

CodeBrewLabs LLC builds custom software for small businesses: work such as automating quotes, invoices, orders, reminders and follow-ups, answering missed calls, and the administrative work around a local business. Every engagement is scoped in a written agreement between us and you, and that agreement governs the work itself. These Terms cover the website, the demos, and the consultation that comes before it.

3. The Free Consultation and Samples

When you book a call or send us a file, you acknowledge and agree that:

  • The first call is roughly thirty minutes, free, and carries no obligation on either side
  • If you send us a spreadsheet, a form, or a sample quote or invoice, we use it only to prepare a sample and estimate for you, as described in our Privacy Policy
  • You have the right to send us the file you send, and it does not contain payment card data, bank details, or personal records of your employees or customers
  • Any sample, estimate, or figure we show you before an agreement is illustrative and is not a fixed quote
  • We reply by text, phone, or email using the details you give us. Message and data rates may apply, and you can tell us to stop at any time
  • We do not place automated calls to you unless you ask for the phone demo, which places one, and we do not record our calls with you

3.1 Demos on This Website

The example on the homepage runs entirely in your browser on sample data we made up, and nothing you do in it is sent to us. The phone demo is the one exception: when you enter a US phone number and press Call me, the number goes to us and to our voice provider so the demo can call it, once. Both are illustrations of the kind of work we do, not a product you are signing up for.

4. User Responsibilities

When using the Service, you agree not to:

  • Provide false or misleading information
  • Send us files you do not have the right to share
  • Attempt to gain unauthorized access to our systems
  • Interfere with the operation of the Service
  • Use automated systems to access the Service without permission
  • Violate any applicable laws or regulations

5. Intellectual Property

This website, including its content, features, and functionality, is owned by CodeBrewLabs and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from it without prior written consent. Ownership of software we build for you is set out in your engagement agreement. Your own data and files remain yours.

6. Payment and Billing

For paid work:

  • Fees, schedule, and scope are set out in the written agreement for your engagement, and that agreement controls if it conflicts with this section
  • Invoices are due as stated in that agreement
  • Work outside the agreed scope is quoted separately before it starts
  • Unpaid invoices may pause work until they are settled

7. Service Availability

The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We do not guarantee uninterrupted availability and are not liable for damages resulting from service interruptions.

8. Termination

8.1 By You

You may stop using the Service at any time. For work in progress, the notice and wind-down terms are in your engagement agreement. To have anything you sent us deleted, email hello@codebrewlabs.io.

8.2 By Us

We may suspend or terminate your access to the Service for violations of these Terms, fraudulent activity, or at our discretion with reasonable notice.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

CodeBrewLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or other intangible losses.

11. Indemnification

You agree to indemnify and hold harmless CodeBrewLabs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law provisions.
